Terms of Service

1. Acceptance of Terms
By accessing or using QuietScore™ at getquietscore.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and QuietCert LLC ("we," "us," or "our").
We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
2. Description of Service
QuietScore™ provides algorithmic acoustic quality ratings for multifamily residential buildings in Denver, Colorado. Scores are derived from publicly available data sources including city records, permit databases, noise complaint data, and publicly posted reviews. The Service is provided for informational purposes only.
3. Accuracy of Scores
QuietScore™ ratings are estimates based on publicly available data and algorithmic analysis. They do not constitute professional acoustic engineering assessments. Scores may not reflect current conditions and are subject to change.
We strongly recommend an on-site visit to any building before signing a lease. QuietCert LLC makes no warranty that any score accurately represents the acoustic environment of a specific unit or the building at any particular time.
4. User Conduct
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service or its systems
- Scrape, crawl, or systematically extract data from the Service without written permission
- Reverse engineer, decompile, or disassemble any portion of the Service
- Misrepresent your identity or affiliation with any person or entity
- Interfere with or disrupt the integrity or performance of the Service
5. Intellectual Property
All content, trademarks, trade names, service marks, and proprietary methodologies on the Service — including QuietScore™, QuietCert™, the ASR™ (Acoustic Sentiment Ratio), NCI™ (Noise Complaint Index), and ARI™ (Acoustic Renovation Index) methodologies — are the exclusive property of QuietCert LLC and are protected by applicable intellectual property laws. A utility patent application is pending.
No portion of the Service may be reproduced, distributed, publicly displayed, or used to create derivative works without the prior written consent of QuietCert LLC.
6. Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant QuietCert LLC a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize such feedback without any obligation to you.
7. Third-Party Services
The Service may contain links to or integrate with third-party websites, data sources, and services. QuietCert LLC is not responsible for the content, accuracy, or practices of any third-party service. Links do not constitute endorsement.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. QUIETCERT LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUIETCERT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF DATA, OR DECISIONS MADE IN RELIANCE ON SCORES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall our total liability to you exceed $100 USD.
10. Indemnification
You agree to indemnify and hold harmless QuietCert LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration may be conducted remotely. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You waive any right to a jury trial or to participate in a class action lawsuit with respect to any dispute with QuietCert LLC.
12. Governing Law
These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles.
